Terms of Service Agreement

 

1.0 Terms of Service Overview

1.1 ‘VoIP’ is an acronym that stands for Voice over Internet Protocol. This service is a best effort service that relies upon the internet, which is out of the control of B1 Communications. Under normal circumstances the service will provide a reliable and good quality communication path; however, the overall reliability of the circuit to always be available cannot be guaranteed.

1.2 By establishing an account or using the Services of B1 Communications Inc. you agree to be bound by this Agreement and to use the Services in compliance with this Agreement, our Acceptable Use Policy, and other policies. The following terms and conditions shall apply to all customers subscribing to B1 Communications Inc.  Digital Voice (VoIP) Service. This Agreement is part of and shall be incorporated into the Acceptable Use Policy.

1.3 In utilizing B1 Communications VoIP Service, Customer agrees to adhere to the terms and conditions of the Acceptable Use Policy and this Agreement as B1 Communications may modify it from time to time.

2.0 Service Distinctions

2.1 VoIP service is subject to different regulatory treatment than traditional telecommunications services.

2.2 Events beyond our control may impact your ability to use VoIP telephone services including, but not limited to all inbound and outbound calling, including emergency telephone calls. These events include your network equipment, cabling, IT provider, internet provider, hacking and local power supply. 

2.3 This service does not support 0+ or operator assisted calling, including collect
calls, third party billing calls, 900 or calling card calls. Our service may not
support x11 services in all calling areas (211, 411, etc).

2.4 You acknowledge that our service may not be compatible with all non-voice communications equipment, including, but not limited to home security systems, satellite television systems, fax machines, computer modems, medical equipment, internet routers etc.

2.5 By signing up for this service through B1 Communications, you waive all claims against interference or disruption of these services and equipment. You waive all liability claims including, but not limited to lost revenue, productivity or business reputation as a result of telephone service outage. We do not guarantee the service level of our VoIP network.

2.6 B1 Communications is required by law to cooperate with law enforcement and investigative government agencies. When a lawful request is made by a law enforcement or relevant government agency we are required to disclose your name, phone number, credit information and other personal information about your account, use of service, length of service, IP address etc. to the requesting agency.

2.7 Acceptable use policy governess the purpose, and usage for your telephone services. Violations include usage of telephone services for the purposes of illegal activities, automated dialling systems, or anything deemed as “excessive” calling usage beyond standard telephone usage which is determined by B1 Communications. Additional costs may be incurred for such extreme usage and/or the suspension of telephone services.

3.0 E911 Services

3.1 Direct VoIP Broadband Phone Service: Service (including 911 calling) will not function during a power outage and may not function during network congestion. Use of 911 service permitted only at a B1 Communications-local phone exchange service address, otherwise 911 calls will not route directly to a 911 operator. Customers should secure an alternative to 911 service and inform all staff and visitors to have an alternative option for emergency calls.

3.2 VoIP 911 service is different from traditional 911. The Enhanced 911, or E911, service that is available to B1 Communications’ customers has the ability to deliver the address, name and phone number of your phone to the Public Service Answering Point (PSAP) in your County.

3.3 This information is delivered from a database that requires up to 4 days to update once the new information is provided. If you move your VoIP phone to a different address, updating the E911 database requires additional effort on your part. For each phone line you must register a physical address with B1 Communications.

3.4 If you move, or move your VoIP service to a new physical address, it is your responsibility to notify B1 Communications of the new physical address. Please make sure that the physical address on your application is the correct physical address where your phone will most often be used keeping in mind the 4 day delay in database updating.

3.5 If you do not provide B1 Communications with the proper address and require the use of emergency services, your E911 calls will appear with your old address information resulting in emergency crews being dispatched to the last registered physical address.

3.6 VoIP adapters do not work without power. In the event of a power outage, your phone service will not work without you providing the electricity locally to power the equipment.

3.7 Any E911 charges associated to your account for, but not limiting incorrect information, account updates, or 911 abuse will be reflected on your monthly statement.

4.0 Usage Charges

4.1 B1 Communications reserves the right to charge or limit the usage of telephone services that exceed ”normal call volume’ which is defined as 30% above our average customer call volume across our network, calculated by extension or business.

4.2 We reserve the right to charge customers for inbound toll-free minutes at an industry rate of $0.04 per minute. Customers may request detailed billing for specific periods of time for any toll-free usage that has been charged.

4.3 B1 Communications reserves the right to notify customers of future per minute usage charges for specific calling regions within North America that do not fall within our guidelines of standard calling rates included in your unlimited North American calling. These regions are often, but not limited to rural communities that do not have standard telephone services provided by national telephone carriers.

4.4 You acknowledge that B1 Communications may suspend toll-free, rural community usage and or excessive usage charges based on non-payment and/or outstanding balances overdue.

5.0 International Calling

5.1 B1 Communications reserves the right to block all outbound international Calling without prejudice at our sole discretion. Reasons may include but not limited to account tenure, credit rating, payment history, or historical calling trends.

5.2 Customers may request international calling availability based on regions or continents with the understanding and acceptance of responsibility for all usage charges.

5.3 B1 Communications reserves the right to require an additional deposit and may limit the amount of international calling available to accounts.

5.4 You acknowledge that B1 Communications may suspend international calling without prejudice or prior notification at our discretion for reasons that include but not limited to; non- payment, over usage, or suspected illegal activity, or a possible breach in security.

5.5 International Calling rates apply to any dialled number regardless of iteration, or authorization by the account holder.

5.6 International rates are subject to change without notice. For the latest rates please contact your account manager at the number provided.

6.0 Property & Devices

6.1 B1 Communications retains ownership of all property that has been installed in your office that was not purchased. This includes but not limited to: VoIP ATA devices, Routers, Switches, Phones, Cables, & Power Bars. In event of service or contract termination, you will be required to return equipment or incur retail value charges to your account payable to B1 Communications within 15 business days of cancellation request.

7.0 Billing Services

7.1 Electronic invoice reflecting the following months services, and all past balances, and un-billed usage, services, and hardware for the current billing period; full payment is due upon receipt of the invoice on the first business day of each month. Complete payment and account history can be requested through your account manager or customer service agent.

7.2 Billing disputes including but not limited to monthly services, hardware, premium services from B1 Communications Inc. must be made in writing within 6 months of the invoice date. This includes a dispute for an invoice not received by the customer and charged on their pre-authorized debit, or credit card on file.

8.0 Payment Policies and Terms:

8.1 B1 Communications accepts Canadian Cash, Certified Cheques, or Cheques for hardware and installation services with monthly services being paid by Visa or MasterCard.

8.2 Payment by Subscriber shall be due to B1 Communications when the invoice is received. The credit card on file will be automatically charged for the current invoice.

8.3 A late payment fee of 5% plus $25.00 CAD shall be assessed on any account not paid by the last business day of the month. Accounts remaining unpaid for sixty (60) or more days shall be deemed delinquent.

8.4 Delinquent accounts shall be placed on “accounting hold” and services to the Subscriber shall be suspended until the account is paid in full. For any subscribers’ account that has been placed on suspended service, there shall be due a Fifty Dollar ($50.00) reconnection charge to reactivate Subscribers Services after the arrearage has been paid.

8.5 In the event any balance is not paid as agreed, the undersigned agrees to pay any applicable collections fees. In the event of a lawsuit to collect the unpaid balance, the undersigned further aggress to pay court costs and reasonable attorney’s fees. All legal action will take place in British Columbia, Canada. The Headquarters for B1 Communications.

8.6. A Twenty Five Dollar ($25.00) fee will be added to the account in the event of any bank returned check. In the event that more than one
check is returned.

9.0 Termination of Services

9.1 Subscriber may terminate this Agreement by submitting a request for termination to the addresses listed in this agreement. Requests received prior to close of business shall have a termination date 30 days out with the acknowledgement and understanding that all associated telephone numbers will be terminated with the account.

9.2 Without prior notice, B1 Communications may terminate this agreement, your password, your account, or your use of services if at the sole discretion of B1 Communications determines that you have violated this agreement, acceptable use policy, or are using services for unlawful or automated dialling purposes.

9.3 B1 Communications reserves the right to terminate your service and telephone number in the event that a delinquent account has not been reinstated and paid in full within 90 days of notice being provided.

9.4 We reserve the right to suspend/cancel services without liability at anytime at the discretion of the management team of B1 Communications for any reason. You will be provided 30 days written notice and within that period of time you are reasonable for porting your telephone numbers to another provider and arranging new services. You will be responsible for returning any B1 Communications leased/borrowed equipment within a 30 day period and pay any outstanding debts owed to B1 Communications prior to the release of your telephone numbers.

10.0 Additional Fees

10.1 B1 Communications offers additional services which shall be billed separately and possibly upfront at the discretion of B1 Communications employees or contractors. These services are limited to our availability and customers location. We reserve the right to refuse any potential request for additional services listed below. Minimum billing is 2 hours with travel time included. Installation, construction, or networking requested by customer is $50.00 – $75.00 per hour based on the difficulty of the requested work.

Telecommunications Consulting & Expert Advice $50.00 per hour
      Onsite Standard Service Call $50.00 per hour

11.0 Equipment and Scope of Work:

11.1 Unless purchased, all equipment, modems, subscriber modules, antennas and standard mounting equipment will at all times remain the property of B1 Communications. Subscriber may not sell, transfer, lease, encumber or assign all or part of the equipment to any third party.

11.2 Subscriber shall pay for the full retail cost of, or the repair or replacement of any lost, stolen, unreturned, damaged, sold, transferred, leased encumbered or assigned equipment or part thereof, together with any costs incurred by B1 Communications in obtaining or attempting to obtain possession of any such equipment.

11.3 On expiration or termination of this Agreement, Subscriber will return equipment that is owned by B1 Communications. Customer will be billed retail prices for any/ all equipment not returned when service is cancelled by either party.

12.0 Telephone Number Port

12.1 I authorize B1 Communications or its designated agent to act on my behalf and port the telephone number listed on this form. I authorize the release of any information from my existing telephone provider to B1 Communications. I am authorized to make these changes for this telephone number.

12.2 You acknowledge that B1 Communications is not liable for any damages caused by a telephone number port. This includes but not limited to the loss of a particular telephone number during the port process by either B1 Communications, or your past carrier.

13.0 Entire Agreement:

13.1 This Agreement constitutes the entire Agreement between the parties and no other representations or statement will be binding upon the parties. If any part of the Agreement is held to be invalid or unenforceable for any reason, the remaining terms and conditions of this Agreement shall remain in full force and effect.
